📍 Session 2: Due Diligence & Deal Execution
This session focuses on the actual mechanics of running an exit process where most deals succeed or fail.
What to expect:
– How an exit unfolds: from first contact → LOI → due diligence → closing
– What matters in term sheets, LOIs, and deal structures
– Financial, legal, and operational due diligence in practice
– Common mistakes that slow down or kill deals
– Founder case: surviving due diligence
– Expert sessions on legal & financial structuring
– Roundtables: negotiation trade-offs (valuation vs. control vs. risk)
