About Event

Build AI agents that actually get used — starting with restaurants - delivering value from day 1.

Toqan is opening our platform to developers. We handle the infrastructure, distribution, and enterprise clients. You build the agents.

Prosus Hackathon Terms and Conditions

By participating in the Hackathon, each participant acknowledges and agrees to be bound

by these Hackathon Terms and Conditions.

1. General & Legal Framework

● Organiser: The hackathon is organised by Prosus Services B.V. a Dutch private limited

company (the "Organiser").

● Governing Law: These Terms and Conditions are governed by the laws of the

Netherlands. Any disputes shall be submitted to the competent court in Amsterdam, the

Netherlands.

● Term Revisions: The Organiser reserves the right to amend these Terms and Conditions

at any time. Participants will be notified of material changes.

● Force Majeure (Overmacht): The Organiser is not liable for cancellation, delay, or damage

due to events beyond its reasonable control, and may reschedule or cancel the event

without liability.

2. Intellectual Property (IP) and Submissions

● IP Ownership: Participants/teams retain ownership of all intellectual property rights in their

submissions developed during the hackathon.

● Originality: Submissions must be the original work of the participants/team created

primarily during the event. Use of pre-existing, publicly available, or open-source

code/content is permitted, provided participants/teams have obtained the right and/or

permission to use such code/content and it is fully disclosed and properly attributed.

● License Grant to Prosus Services B.V.: By making a submission, each participant/team

grants the Organiser a perpetual, worldwide, irrevocable, royalty-free, non-exclusive

license to:

○ Review, judge, and internally test the submission.

○ Use and display the submission and related materials (e.g., videos,

documentation) for any purpose, whether commercial or non-commercial, without

further permission from you and without any compensation and/or credit.

○ Copy, modify, sub-license and/or create derivative works of the submission for its

own use including use by affiliate companies.

● You agree that we are free to develop or use ideas and materials similar or identical to

your submission, and you waive any claims against us resulting from those similarities

● Indemnity: Participants warrant their submission does not infringe any third-party

intellectual property rights and agree to indemnify the Organiser against any third-party

claims arising from their submission.

3. Participation and Code of Conduct

● Eligibility: Participation is open to individuals who are 18 years of age or older.● Fair Play/Code of Conduct: All participants must adhere to a standard of professional

conduct, promoting respect, inclusivity, and non-discrimination. Abusive behavior,

harassment, or attempts to gain an unfair advantage will lead to immediate

disqualification.

● Disqualification: The Organiser reserves the right to immediately disqualify, in its sole

discretion, any participant or team violating these Terms and Conditions, forfeiting all

rights to any prizes or participation.

● Prizes: If any prizes are to be awarded, they will be awarded based on the announced

judging criteria. All judging decisions are final and binding.

4. Liability and Data

● Limitation of Liability: The Organiser's liability for direct damage is limited to what is

required by mandatory Dutch law. The Organiser is not liable for indirect or consequential

damages, loss of profits, loss of data, or damage to participants’ personal equipment.

Participation is at the participant's own risk.

● Data Protection: The Organiser will process personal data in compliance with applicable

data protection laws, in particular, the GDPR. More information on the processing of

personal data by the Organiser can be found on its privacy policy available at

https://www.prosus.com/site-services/privacy. To the extent participants/teams process

personal data during the hackathon, they do so in their capacity as independent controllers

of that data and agree to handle or otherwise process all personal data in accordance with

applicable data protection laws.

● Publicity: By participating in the event, individuals consent to the Organiser using their

name, image, and likeness in promotional and marketing materials related to the event.
