Rethinking Board Oversight in the Data Era: When AI Fails, Who Becomes Liable?

Artificial intelligence has moved from the periphery of corporate operations to the centre of decision-making, informing everything from credit assessments to regulatory disclosures. Corporate governance frameworks, however, were not designed with machine-driven decisions in mind, and the question of where accountability sits when an AI system errs — with the company, the board, management, internal technical teams, or a third-party vendor — remains largely untested.

This webinar, hosted by Duale, Ovia & Alex-Adedipe's Company Secretarial and Corporate Governance practice, brings together perspectives from governance advocacy, in-house compliance and the technology sector to examine what boards should be doing before an AI failure occurs, not after.

Discussion will address:

  • How directors' duties of care, skill and diligence under the Companies and Allied Matters Act 2020 extend to AI-influenced decisions

  • Where AI oversight fits within existing risk, compliance, audit and data protection structures, including obligations under the Nigeria Data Protection Act 2023

  • How responsibility is likely to be apportioned between boards, management and technology providers when systems fail

Joining the conversation are Obum Ekeke, OBE, CEO, MasteryHive AI; Mrs Folasade Ibidapo-Obe, Chief Compliance Officer & Company Secretary, Oando Plc; and Dr Anino Emuwa, Managing Director, Avandis Consulting, with Grace Ama, Associate, Duale, Ovia & Alex-Adedipe, moderating the discussion. Together, they will bring perspectives spanning AI, corporate governance, compliance, technology and organisational leadership.

Format: Opening remarks, moderated panel discussion and open Q&A. 90 minutes.

Who should attend: Board directors, company secretaries, general counsel and compliance officers, risk and audit professionals, technology leaders, and regulators with an interest in corporate governance and emerging technology.
