Term Sheet Teardown: Clauses, Catches & Negotiation Tactics, presented by Wells Fargo and Cooley LLP
Join us for Term Sheet Teardown: Clauses, Catches & Negotiation Tactics, presented by Wells Fargo and Cooley LLP and hosted at Corgi Cafe.
We’ll kick things off at 10:00 AM with coffee and bagels, followed by a practical, founder-focused workshop beginning at 10:30 AM. The session will break down the terms that matter most in a venture financing—what they actually mean, where founders should negotiate, and which clauses can have a much bigger impact than they seem to at first glance.
Topics may include valuation and dilution, liquidation preferences, board and investor control rights, anti-dilution and pro rata rights, founder vesting, option pools, common red flags, and negotiation strategy. We’ll also walk through an anonymized term sheet to compare founder-friendly and investor-friendly terms in a real-world context.
After the presentation, stick around for light networking, coffee, and conversation with fellow founders, investors, and members of the startup community.
Schedule:
10:00 AM — Coffee, bagels & arrival
10:30 AM — Term Sheet Teardown workshop
11:00 AM — Networking & Q&A
12:00 PM — Event concludes
