Ad Hoc Founders Counsel is hosting a live workshop for founders who are actively building and thinking about how to structure their company as they grow and move toward fundraising.

We’ll walk through some of the most common legal and structural issues that show up later in diligence, and how to approach them early so they don’t become complications later on.

These are often things founders don’t realize matter until they’re in the middle of a raise or diligence process.

Who this is for:

  • Founders with a product, MVP, or early traction

  • Teams thinking about equity, cofounders, or bringing people on

  • Companies planning to raise (or raise soon)

  • Investors or prospective investors looking to better understand how early-stage companies are structured

Who this is not for:

  • Early idea-stage exploration

  • General curiosity about startups without an active build

What we’ll cover:

  • LLC vs C-Corp (in the context of fundraising)

  • How cap tables actually work

  • SAFEs, notes, and early dilution

  • Common mistakes founders don’t realize until later

There will be time for general Q&A at the end.
