About Event

Where should your company actually live?

Hosted by Tools for the Commons, Founder Desk and Próspera, as part of Magic Island.

In the internet era, you can operate globally. This is jurisdiction arbitrage for founders, one to one.

The decision on where to incorporate your company is one of the most important calls you will make, and it is not only about taxes. It is about regulation. It is about freedom to build.

Delaware and Cayman were the starting point. Are they still the future? Founders are already voting with their feet. Reincorporation proposals have surged in the last two years, and a growing list of well known companies have moved their legal home out of Delaware entirely, some citing tax exposure, some citing governance rules that no longer fit a founder led company. At the same time, remote work has made location a choice rather than a constraint, and newer jurisdictions are actively competing for builders instead of just processing paperwork.

One of the clearest signals of this shift is the rise of digital economic zones: purpose built jurisdictions that treat governance itself as a product, with their own commercial law, arbitration systems, and regulatory frameworks designed for founders rather than inherited from a legacy legal system.

Join us for an intimate brunch bringing together 15 founders who are seriously exploring where to build, not just how.

This is not a pitch session. It is a small, curated table for founders who want to think seriously about jurisdiction as a strategic lever, hear directly from those who have done it, and ask hard questions about what building across Floripa and Próspera really involves.

Space is limited to keep the conversation sharp.

🗓 Friday, August 21, 2026 · 9:00am to 11:00am

Founders actively exploring incorporation outside the default playbook.

Builders curious about jurisdictions built for entrepreneurs rather than just compliance.

Anyone ready to treat where their company lives as a strategic decision, not a formality.

---- Format ----

An intimate brunch, not a panel. Expect real conversation, direct answers, and time to ask the questions that matter to your specific situation, including what dual incorporation and a Founder Desk setup would actually look like for your company.

---- The people behind it ----

Founder Desk is a virtual and physical office and incorporation service built for nomadic firms, the multi-local business desk. It provides mailbox services and dual incorporation in Florianópolis, Brazil and Próspera, Honduras, so founders can choose the jurisdiction that fits their business while living in the Magic Island of Floripa.

Tools for the Commons built the DAZ platform, an all in one digital economic zone and institutional stack that lets entrepreneurs incorporate, operate, and scale borderless businesses within 24 hours. Operating in direct partnership with local governments, DAZ functions as locally rooted, globally coordinated infrastructure, entirely online, with no physical relocation required.

Próspera, officially known as Próspera ZEDE, is a charter city on the island of Roatán, Honduras. It is one of three Zones for Employment and Economic Development (ZEDEs) in the country, operating under a distinct fiscal, legal and regulatory framework that grants it autonomy from the national government.

FloripaDEZ is a proposed Digital Economic Zone for Florianópolis, championed by the Floripa Institute of Technology [FiT], with backing from a growing consortium including Founder Village, Próspera ZEDE, Infinita, Tools for the Commons, Habitasul and the local business community. The initiative aims to give Florianópolis, already known as Brazil's Startup Capital, a regulatory framework built specifically for tech companies and remote teams: streamlined incorporation, clarified rules for digital assets, and infrastructure to attract nomadic firms and returning Brazilian founders, positioning the Magic Island as a genuinely competitive jurisdiction for the next wave of technology businesses.

Magic Island is a month long popup city in Florianópolis, Brazil. Every August, founders, builders, and investors land on the island for hackathons, dinners, meetups, and open days.

Founder Haus Beach Club is a private club for founders who build and builders who found. As part of the Founder Village infrastructure, developed and co-owned by founders for founders, we are transforming the neighborhood of Jurerê Internacional into the village we want to live in, share with like-minded families, and co-own as a community.
