A US flip looks simple from the outside. You create a Delaware Inc, swap shares, and you're a US company now with EU roots and all.
Although it's rarely that clean. Before the mechanics matter, there's a more basic question: do you actually need this? Some companies genuinely do, while others are told they do and end up paying for a structure that never served them.
