Topic📍

From Corporate Control to Collaborative Carry: Building Investment Structures and Bridges for Cumulative Founder Stewardship between CVCs and VCs.

How do we rebuild trust and design better incentive alignment bridges between venture capital, corporate VCs for stewarding founders in the long term? What about corporate spinout structures?

This session will tackle:

  • Misaligned incentives between CVCs and VCs: how to correct them?

  • How do early-stage VC/CVCs think about corporate spin-outs? What are the incentive structures for founders?

  • The gaps in trust and transparency in VC/CVC term sheets and board advisory

  • Frameworks for long-term capital with founder-first governance among VCs and CVCs in such models

  • Long-term stewardship as opposed to short-term exits - What do founders need and what do they face as challenges today?

  • Some real stories/ case studies: when it worked, when it broke, and what to learn from?

Why This Matters 🧩

In climate, deeptech, and mission-driven fields, founders need long-term cycles and decisions that compound over decades. VCs and CVCs must evolve to be collaborative stewards to derisk the long-term growth of these startups. This session aims to build that bridge to dissect the strategic capital and partnerships, corporate spin-outs, and venture building with the long game in mind.

One of the outcomes will be captured through the Reciprocity circle to foster collaborations between participants ( to form smaller circles) to serve as a conversation starter. A thought piece will follow to be released after the event to keep the attendees engaged post the Drop.

Capture best practices for CVCs and VC, and also to collaborate for being founder-centric.

Format 🎙️

Introducing the agenda and partners (10 min):

  • Lightning Panel (25 min):

    • Short insights from 3 speakers: one VC, two CVCs

  • Open Circles (30 min):

    • Group dialogues in interactive fishbowls with different case studies of collaboration and specific areas (for example, deep hardware tech, SW tech cases )

  • Reciprocity circle (15 min):

    • One idea to take home: how do you build capital for stewardship?

    • An Investor Open Board Wall for people to contribute ideas for better VC/CVC alignment structures.

  • Networking (45 mins):

    • Open Networking with locally served Mocktails and snacks from the local regions of Malmö.
