日本のスタートアップにおいて、エンジェル投資契約やエクイティ型顧問契約（Sweat Equity）の設計は、実務上まだ統一されたベストプラクティスが確立されていない分野の一つです。
一方、海外のスタートアップエコシステムでは、創業初期の投資やアドバイザー契約について、広く共有された契約慣行やテンプレートが存在します。こうした状況を踏まえ、Serendiaではスタートアップ・エンジェル投資家・専門家の皆様が活用できるよう、テンプレート集を公開しました。
本イベントでは、公開されたテンプレートの背景や設計思想をご紹介するとともに、エンジェル投資やエクイティ型顧問契約に関する法務・税務の実務ポイントについて議論します。

Early-stage startups in Japan often face uncertainty around angel investment agreements and equity-based advisory arrangements. While global startup ecosystems have developed widely adopted legal standards, practical guidance adapted to the Japanese environment remains limited.
To help address this gap, Serendia recently released a set of open-source legal templates for the startup ecosystem, including agreements for angel investment and equity-based advisors. These templates were developed with leading legal and tax professionals and aim to reflect international best practices while remaining compatible with the Japanese legal and tax framework.
This session will introduce the templates and explore key legal and tax considerations around early-stage startup contracts. The discussion will bring together lawyers, tax experts, investors, and ecosystem leaders to share perspectives on how global standards can be adapted to Japan’s startup ecosystem.
